These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Degen.club ("Degen.club", “we”, “us”, or “our”), for use of the https://degen.club Web site (the “Site”). You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. If you do not agree with all of these terms of use you must cease use of the site.
We may post supplemental terms and conditions or related documents on the Site which are hereby expressly incorporated herein by reference. We may make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms of Use, and we may post notification on the Site but you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed of updates. Your continued use of the Site after the date such revised Terms of Use are posted indicates you have been made aware and have accepted the changes in any revised Terms of Use.
The content, functionality, and information on the Site is not intended to be used or distributed by anyone in any jurisdiction where such use or distribution would be prohibited by law. Anyone who chooses to access the Site does so of their own volition, and are solely responsible for compliance with local laws.
The Site is intended for users who are at least 16 years old. Persons under the age of 16 are not permitted to use or register for the Site.

Degen.club allows for Site users to form and join clubs to participate in Site activities and use Site features.
You may be required to register with the Site and select a username and password. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change your club name, username, or related avatar you select if we determine, at our sole discretion, that your club name, username, or related avatar is inappropriate, obscene, or otherwise objectionable.
Registered Site users that form a club are organizers. Registered Site members that join a club are club members.
By using the Site, you represent: (1) all registration information you submit will be true, accurate, and current; (2) you will maintain the accuracy of the information and promptly update the information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not under the age of 16; (5) you will not access the Site through automated means, whether through a bot, script, or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site will not violate any applicable law or regulation. By using the Site as a club organizer, you represent: (8) that you can form legally binding contracts under applicable law and are of legal age of majority in your place of residence.
If you provide any information that is untrue, inaccurate, or not current, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site.
Site users can transfer their accounts with written notice to us of the requested change of control of the account.
You may not access or use the Site for any purpose other than those for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Site, you agree not to:
The Site may invite you to chat, contribute to, or participate in messaging and other functionality, and may provide you with the opportunity to create, submit, post, and share content and materials to us or on the Site, including but not limited to text, images, audio, video, or personal information or other material (collectively, "Contributions"). We have the right to edit or change any Contributions; to re-organize Contributions and place them in more appropriate locations on the Site; and to delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.
Any questions, comments, suggestions, feature requests, feedback, or other information regarding the Site ("Submissions") provided by you to us are not confidential and become our property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use of these Submissions for any purpose, including commercial.

Such Third-Party Web sites and Third-Party Content are not investigated or checked for accuracy by us, or monitored for appropriateness by us. We reserve the right to take appropriate legal action against anyone who violates the law or these Terms of Use according to our sole discretion. We are not under obligation to monitor the Site for violations of the law or these Terms of Use. At our discretion we may limit or remove access to the Site or remove content from the Site without notice in order to protect our rights and property.
Please review our Privacy Policy at https://degen.club/privacy.php. By using the site you agree to be bound by our Privacy Policy in addition as part of these Terms of Use. The Site is hosted in the United States of America. Use of the Site transfers your data to the United States, and you agree to have your data transferred to and processed in the United States.
If you believe that any material available on the Site infringes upon any copyright you own or control, please notify us by using the Contact Us link on this page or via email to support@degen.club and include the information as required in DMCA section 512(c)(3) (a “Notification”). A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification.
If you believe your own copyrighted material has been removed from the Site as a result of a mistake or misidentification, you may submit a written counter notification to us by using the Contact Us link on this page or via email to support@degen.club and including the information as required in DMCA section 512(g)(3) (a “Counter Notification”).
If you send us a valid Counter Notification meeting the requirements described above, and we have not already received notice from the party filing the Notification of a court action to restrain you from activity related to the material in question, we will restore your removed or disabled material.
These Terms of Use are in full force and effect while you use the Site. We reserve the right to deny access to the Site and to deny use of the Site without notice, for any reason or no reason. We may terminate your use of the Site and delete your account or any content that you provided at any time without notice.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name or a pseudonym or other name.
We reserve the right to modify contents of the Site at any time for any reason. We have no obligation to update any information on the Site. We are not liable to you or any third party for any modification of the Site.
We cannot guarantee the Site will be available at all times. We are not liable to you or any third party for any interruption of service.
These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the State of Maryland.
The site requires registration for use, and an email address associated with the registration. The Site may charge a fee for use of the Site (the “Fees”). Unless otherwise stated, all fees are in U.S. Dollars. We reserve the right to change the Fees at any time, upon 30-days written notice to the email address associated with your registration. It is your responsibility to ensure deliverability to that email address. Fees may be on a subscription basis. Subscription fees are due within 30 days of subscription renewal, after which penalties may apply. Failed payments are treated as missing payments and penalties may apply. Refunds are not available. Cancelled subscriptions will not be rebilled at renewal time and Site access will be disabled after the renewal date.
In the event of any dispute or claim related to these Terms of Use (each "Dispute") brought by either you or us (the “Parties”), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations begin with written notice from one Party to the other Party.
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved through binding arbitration under the rules of the American Arbitration Association (AAA). You understand that without this provision you would have the right to sue in court and have a jury trial.
Arbitration will take place in Baltimore, Maryland. Arbitration may be conducted in person, through the submission of documents, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law.
No Dispute may be brought by either Party related in any way to the Site more than one (1) year after the cause of action.
Information on the Site may contain typographical errors, inaccuracies, or omissions, including descriptions and pricing. We reserve the right to correct any errors, inaccuracies, or omissions on the Site at any time, without prior notice.
The Site is provided on an “as-is” and “as-available” basis. Your use of the Site is at your sole risk. We disclaim any warranties, either expressed or implied, in connection with the Site and your use of the Site without limitation.
In no event will we, or our agents, be liable to you or any third party for direct or indirect damages resulting from your use of the site. Our liability to you for any cause whatsoever will be limited to the amount paid by you, if any, during the twelve (12) month period prior to any cause or action.

Visiting the Site, sending us emails, and completing online forms are all forms of electronic communications. You consent to receive electronic communications, and you agree that electronic communications satisfy any legal requirement for written communication.
If any provision of these Terms of Use shall be held or made invalid by a court decision, statute or rule, or shall be otherwise rendered invalid, the remainder of this Agreement shall not be affected thereby.
